• Promoted to Interim General Counsel reporting directly to the CEO from March to December 2009.• Truly unique experience, skills, judgment, and insight gained from a high profile ethics scandal and leadership crisis involving the CEO, the Board of Directors, other senior executives, and the Minister of Health. • Played a major role in addressing executive leadership problems and advising the new leadership in rectifying serious legal, governance, procurement, operational, and employee morale issues.• Provided key advice and assistance to two interim CEOs and the interim board chair on highly sensitive legal matters.• Engaged in highly sensitive preparatory legal work in advance of and subsequent to the leadership crisis. • Assisted in the establishment of the legal department, including hiring, training, and supervision of staff; managed a $1 million budget for a corporation with annual revenue of $700 million.• Responsibilities included providing timely, business-driven legal solutions to the CEO, senior executives and various business units, including the review, drafting, and negotiation of agreements, risk mitigation strategies, and policy drafting.• Areas of law: corporate, procurement, privacy, regulatory compliance, technology, and employment.• Negotiated and concluded major agreements with other branches of the Ontario government, clients, and suppliers.• Advised on compliance with privacy statutes such as the Personal Health Information Protection Act and the Freedom of Information and Protection of Privacy Act.
