Matthew advises clients on federal, state and local economic development incentives and non-traditional sources of capital, namely in the areas of energy, technology, manufacturing, affordable housing, historic preservation, and community development. Matthew also concentrates a significant portion of his practice on representing small business start-ups and investors on a wide variety of organizational issues, corporate transactions, corporate financings, securities laws and corporate compliance matters.Matthew's economic development experience includes advising emerging companies on choice of entity issues and economic development incentives available in Mississippi and elsewhere in the Southeast, and working closely with manufacturing clients and other Mississippi-based businesses in applying for and complying with certain grants and loan programs available through the Mississippi Development Authority.Matthew also leverages his economic development and financing experience on behalf of craft breweries, representing them in all aspects of their operations. He advises on business entity formation, ownership structure, startup financing and expansion financing, and files and registers trademarks and protects all forms of intellectual property. Matthew oversees the land use approval process for the construction and operation of the craft breweries, and drafts and reviews distributor and licensing agreements as well as employment agreements. He advises on Alcohol and Beverage Control (ABC) and Alcohol and Tobacco Tax and Trade Bureau (TTB) license applications and filing other necessary documents, and consults both craft breweries and brewpubs on alcohol and beverage laws. Finally, he advises craft breweries, brewpubs and others in the industry on economic development incentives, and reviews and drafts legislation that impacts the beer industry.
