I get a kick out of working with clients to put capital together with ideas, transfer ownership of business operations from sellers to buyers, develop and deploy technology, and to understand and fulfill fiduciary duties as directors and officers. I enjoy consulting with clients on all aspects of their business as outside general counsel and thinking laterally to develop creative and practical solutions, using legal tools to address business challenges.I am a partner in the Chicago office of Thompson Coburn LLP. I represent clients in diverse corporate and commercial matters, including venture capital transactions; mergers, acquisitions, and divestitures; public and private securities offerings; securities reporting and compliance matters; and corporate governance matters.I have also negotiated and drafted joint venture, corporate partnering and strategic alliance arrangements, research and development initiatives, software development and license agreements, distribution agreements, and other complex commercial agreements for both U.S. and foreign entities. These transactions have included ITO and BPO outsourcing and intellectual property management.
