I am a Partner, the Practice Group Leader for the Corporate section and a member of the Senior Management team at Troutman Pepper. My practice focuses primarily on private equity and growth equity transactions and portfolio companies, strategic M&A, corporate governance, and Delaware corporate and alternative entity law. I represent clients in public and private transactions, including mergers, sales and acquisitions of subsidiaries and divisions, private equity and venture capital transactions, recapitalizations, and asset sales in connection with bankruptcy proceedings. I counsel clients in public and private debt and equity securities offerings, exchange offers, consent solicitations and other securities transactions. I also counsel clients on fiduciary duties and corporate governance matters related to Delaware corporations, limited partnerships and limited liability companies. I was President of the Delaware State Bar Association.
