Responsible for managing all of the company's legal matters, including contract negotiation and preparation, real estate transactions, employment matters, mergers and acquisitions, international transactions and litigation.

Provide comprehensive legal solutions to entrepreneurs and closely held businesses. Counsel private and public companies in a wide range of general corporate and securities matters. Represent clients in the formation, acquisition and sale of business ventures, as well as in private placements, financing, shareholder agreements, real estate transactions, complex commercial contracts and corporate governance matters.

Counsel clients ranging from large, publicly traded companies to private equity funds and closely held businesses in all phases of general corporate and securities transactions, including mergers and acquisitions, complex commercial contracts, securities offerings and filings, securities compliance, financing, corporate governance, licensing, international transactions, real estate matters and employment matters. Negotiate and prepare documents relating to all aspects of such transactions. Function as the primary provider of comprehensive legal advice to a core group of clients. Work closely with clients to ensure their compliance with applicable statutory and regulatory requirements. Supervise the work of junior associates and paralegals. Analyze due diligence materials, resolve contentious issues and negotiate appropriate changes to transaction documents. Investigate complex legal and factual issues and work with in house counsel to resolve third party disputes. Perform legal research on corporate, securities, tax and other issues, and prepare memoranda based on analysis of research.
