Prior commercial and real estate transactions handled include the asset sale of four different restaurants and a wrecking yard; the proposed asset sale of a small telecommunications business to a large public corporation; the forward triangular merger of the small telecommunications business into a larger closely held corporation; the bulk sale of manufactured home inventory; and the like-kind exchange of a rental residential property for a hotel. Prior taxation matters handled include Type “A” and “C” reorganizations; §1031 “reverse” like-kind exchange; S Corporation taxation; partnership taxation; the formation of, and applications for, §501(c) nonprofit entities; unrelated business taxation of income; §527 political organizations; and various other income tax issues.
Researched, analyzed and advised on all issues before the Legislature, specifically education policy.
Researched, analyzed, and advised on Banking, Housing, National Defense, and Foreign Relations policy. Wrote policy statements to constituent groups and to 78 weekly newspapers around Oregon.
