Senior Corporate Counsel
CurrentServing as sole in-house US counsel for 10+ years supporting North America and Northern Latin America operations and global collaboration; providing general legal advice/support for all operations, including sales, service, risk management, compliance, finance and accounting, business development, human resources, and marketing. Negotiating/managing capital sales and software licensing contracts with end user hospital systems and GPOs, supplier agreements, distribution agreements, strategic partnership agreements, data privacy/security agreements, and non-disclosure agreements. Managing US based risk management portfolio and placement; collaborating with foreign colleagues on global risk program. Supporting global business development through due diligence and post-closing integration/divestiture. Overseeing outside litigation counsel, and working with insurance adjusters, in product liability, negligence and IP infringement lawsuits, including managing discovery. Assisting with internal global compliance program relating to FDA/Medical Device related regulations/guidance, privacy/HIPAA, training. Partnering with company executives, with a direct reporting line to President. Defining legal department policies and procedures; maintaining contract tracking system and creating/maintaining contract templates and clause library to streamline work flow. Managing, mentoring and training paralegal. Thriving in a fast paced, dynamic company which requires intracompany partnerships, an attention to detail, more than a nod to pragmatism, quick, but thoughtful, decision making, and the ability to successfully juggle multiple balls while wearing various hats.
