Michael Bydalek is co-chair of Kutak Rock's Technology and Intellectual Property practice group. He concentrates his practice in the growing area of Technology Law, including Computer Law, eCommerce and Intellectual Property. He has worked directly with key information technology professionals, business stakeholders and technology companies in a variety of transactional and operational matters, frequently serving as lead counsel to negotiate high-profile and high-value technology transactions. Although his practice in the past decade has been focused on technology transactions, Mr. Bydalek worked as a complex commercial litigator before going in-house as a technology attorney for a transportation company. His experiences from both the perspective of a litigator and in-house counsel make him an effective and pragmatic negotiator for his clients. Representative Experience: Negotiating contracts for the procurement, sale and distribution of high-tech hardware, software and services, including licensing, development, maintenance, consulting services, and OEM. Overseeing mergers and acquisitions of software companies, including technology due diligence and preparation of technology assignment and transfer agreements. Performing software audits and counseling regarding development of intellectual property licensing plans. Resolving software licensing and intellectual property disputes, including domain name disputes. Counseling clients in a variety of business sectors regarding Internet law, marketing and advertising issues and e-commerce initiatives, including privacy, data security, CAN-SPAM Act, COPPA, B2B, B2C and industry-related supply chain portals.
