Experience includes preparation of letters of intent/term sheets, management of and participation in legal due diligence process, negotiation and drafting of transaction agreements, advising boards of directors on fiduciary duties, managing pre-closing and closing process, assisting with post-closing integration matters, assisting with post-closing indemnity claims and assisting litigation team with deal-related shareholder litigation. • Representation of venture capital investors with respect to equity investments in and debt financings of early- and mid-stage companies. • Advising clients on matters of corporate governance. • Representation of publicly held companies with respect to general compliance, registration and reporting under the Securities Act of 1933 and the Securities Exchange Act of 1934, respectively. • Representation of publicly held companies with respect to general compliance under listing rules and regulations, including corporate governance rules, promulgated by various securities exchanges such as NASDAQ and NYSE.
