Ledyard is the Chair of Morris James’ Business Transactions, Strategic Planning and Counseling Practice, a group that routinely handles over $10 Billion in financings annually for a wide range of clients.In his personal practice, Mike focuses on the use of limited liability companies, statutory and common law trusts, partnerships, corporations, and other Delaware entities in complex financing transactions, such as asset backed financings, leveraged leases, and like-kind exchanges, as well as in joint ventures and other business organizations. He regularly acts as counsel to borrowers, lenders, lessees, trustees, and other financing parties, and renders third-party legal opinions as to matters of Delaware and federal law, including federal bankruptcy law. A significant component of Mike’s practice involves counseling banks and other clients located in the United Kingdom, Europe, Australia and South America and rendering legal opinions in cross border transactions. Mike is one of the drafters of the Delaware Limited Liability Company Act, the Delaware Revised Uniform Limited Partnership Act and the Delaware Statutory Trust Act and remains a member of the drafting committees charged with proposing and drafting amendments to such Acts in order to maintain the "Delaware advantage" of these business statues.Mike is a sought-after speaker in the United States and abroad on the subject of Delaware corporate and alternative entity law, and also writes frequently on the topic.
