Responsibilities included: P&L, legal, HR, strategy, contracts, mergers and acquisitions, facilities, project management, operations, commercial real estate, commercial financing, risk management, employee stock, corporate governance, negotiations, policy, plus supervised 4 direct reports 7 indirect reports. • Represented employee buyers in a leveraged buy-out of company from private equity firm. Established an Employee Stock Ownership Plan (“ESOP”), designed the buyout plan, conducted complex negotiations, handled all legal functions, raised millions in cash from employees, and oversaw entire transaction and final contracts.• Drove the company development of a new headquarters in Washington, DC--overseeing project from conception through completion. Conducted market research, site selection, secured lease, negotiated contracts, led the design process, oversaw $9M facility construction buildout, purchased technology systems, equipment, and furniture.•Served as a trusted advisor to CEO, CFO, board members, senior management team, and offered counsel to 50+ client executives.• Managed expansive growth of the company, overseeing all legal aspects involving nine mergers and acquisitions. • Led a team of 10 to create and implement COVID-19 solutions, policies, and business strategies to hard-hit association clients to address mitigation of legal issues, transition of live events to virtual, communications to client stakeholders, and client contract renegotiations.• Negotiated and drafted all client and vendor engagements, intellectual property licensing, NDAs, SaaS agreements, and procurement of services and products. • Conducted all negotiated agreements on 12 prime office lease transactions and 4 sublease transactions (over 300,000 sq. ft.) in several states.
