Conducted due diligence and developed models for $1.6B acquisition of Sid Richardson Energy Services (SRES) and the $2.4B acquisition of CrossCountry Energy from Enron bankruptcy estate. Took part in divestiture of PA and RI LDC operations to finance $1.1B of SRES purchase price via reverse like-kind exchange. These transactions completed the transformation from 100% LDCs in 2002 to 70% pipelines, 15% midstream and 15% LDCs by 2006. Managed consolidated debt portfolio and financial derivatives. -Consolidated treasury operations for all acquired companies into centralized department.-Unwound project financing loan and related derivatives to free up cash flow from acquired business unit.

Coordinated knowledge and data transfer for Corporate Treasury operations move from Austin, TX to Wilkes-Barre, PA, including personnel hiring. Developed financial models and projections, managing cash and borrowing positions of company. Collaborated with teams carrying out $430M divestiture of Texas operations and $1.8B acquisition of Panhandle Eastern Pipe Line Company from CMS Energy. Managed tender offers for existing debt and managed new debt issuances. -Completed transfer of treasury function to new location, with no downtime or disruption.-Assisted in capital raising process for acquisition, which included common stock, equity units, preferred stock and proceeds from the sale of assets.

Oversaw daily cash management and due diligence during lead up to acquisition. Implemented tariff changes, prepared cash flow forecasts, and analyzed operating and capital budgets. Prepared PUC quarterly reports and coordinated base rate filings with PUC. Supervised remittance processing department and a gas supply accountant.-Acted as the primary preparer of, and a witness in, successful base rate case filings in 1998 and 2000, resulting in over $20 million of base rate increases. -Served on Energy Association of Pennsylvania’s Gas Regulatory Matters Committee during period of deregulation for natural gas and utility services. -Presented the case to senior management to outsource the remittance processing function that resulted in cost savings in excess of $100k per year and a net headcount reduction of six FTE’s.
