Provide advice to clients on underwriting and valuation of commercial real estate and assets backed by commercial real estate as part of the purchase, sale, refinance or repositioning of assets. Advise on the overall credit profile, capital and deal structure, and asset positioning within the current market and lending environment for debt origination and restructure. Performed due diligence for FDIC structured asset sales, bank acquisitions, compliance audits including the SBA, and commercial and residential foreclosure compliance audits. Assisted in loan closings, including coordination of the defeasance process. • Assisted other Morgan Stanley offices with underwriting multi-asset portfolio loans, whole loan purchases and sales, and analyzed multi-billion dollar pools of CMBS for investment and hedging opportunities.

Light involvement in tax credits, assisted living and Alzheimer’s facilities. • Commercial mortgage loans were originated for securitization through KeyBank’s conduit and for life insurance, pension fund and investor clients. • Sized, negotiated, structured and performed initial underwriting on all loans. Reviewed leases, estoppels, loan documents, and loan closing statements.
• Origination and servicing of commercial mortgage loans for the general account of General American Life Insurance Company as well as other smaller life companies and pension funds which granted Conning discretionary authority. Territory included the mid-Atlantic region, Boston and New England.• Cradle to grave process including underwriting and servicing, work-outs and loan restructures. Portfolio management included surveillance, periodic servicing inspections and quality ratings of the commercial real estate collateral. • Conning Asset Management was the result of the combination of an insurance consulting group (Conning) and the real estate arm of General American Life Insurance Company. During this period Conning Asset Management became part of Met Life as a result of Met Life’s acquisition of General American. Met Life later sold Conning Asset Management to Swiss Re, and Swiss Re sold the real estate lending and servicing division to KeyBank.
• All aspects of financial management for 1.5 million square feet of office, industrial and retail properties in the Northern Virginia, Tidewater Virginia, and Maryland real estate markets. Prepared budgets, financial reports and expense reconciliations. Real estate tax assessment challenges, collection, eviction and receivership experience. • Re-financed, and restructured mortgage debt. Processed construction loan draws for properties under development. Prepared underwriting for RFPs for government leases and major build-to-suit leases.• Conducted the underwriting, prepared contracts and stewarded the closings of refinanced properties, as well as the disposition and acquisition of real estate assets for third party clients including financial institutions, and investors. • The consulting practice included leasing, property management and portfolio review as well as property acquisition and the disposition of client REO. • The In-House counsel position involved the preparation of legal documents including partnership agreements and amendments, leases, supplemental lease agreements, purchase and sale agreements and other transactional documents, as well as court filings in tandem with outside counsel.
• Assistant to the Property Manager for the companies’ 2,000+ multi-family apartments. Transferred to the construction and development arm of the Company in 1986. • Prepared budgets and conducted cost accounting for single family, large lot, and townhouse subdivisions. General ledger maintenance. Created a warranty reserve accounting system for the company. • As land contracts manager, I was responsible for conducting due diligence on properties under consideration, preparation and review of transactional and pertinent closing documents and financial underwriting of acquisition opportunities. • Involved in most aspects of the acquisition and entitlement of properties, as well as the sale of developed lots, and undeveloped parcels of land.
