Responsible for the design, management and implementation of the global compliance program for more than 20,000 employees and directors.

As Ferrovial's first Head of Compliance, North America, I distill the core principles and beliefs underlying Ferrovial's strategic vision into practical, effective, and efficient solutions which are implemented across all four of Ferrovial’s divisions on a global basis.

One of parent company Ferrovial's four Business Units, Cintra is a private developer of transportation infrastructure based in Madrid, Spain with over $15 billion of managed assets spanning three continents. I handled all legal issues related to bids for multi-billion dollar transportation infrastructure public-private partnership (P3) projects in the U.S. and Canada. I negotiated sophisticated and complex commercial and finance agreements with public and private counterparties, and worked with partners from around the world. I regularly engaged in substantive risk analysis as it relates to new projects as well as ongoing operations with impact to the global organization. I handled all matters related to required corporate authority and certification in the U.S. and also manage outside legal counsel in various roles. On a daily basis, I collaborated closely with other corporate departments, including business development, finance and technical, in order to achieve a successful outcome.I also served as the lead attorney/internal general counsel for a Cintra subsidiary which provides back office and other intellectual technology services to affiliate companies. I negotiated comprehensive, arms' length contracts with such affiliates. I also negotiated contracts with third party vendors, including regarding matters related to licensing and intellectual property.Finally, I provided research, counsel and guidance to the general counsels of the Cintra-affiliated U.S. concessions on certain legal issues with implications across the organization.

Simultaneously served as General Counsel and Corporate Secretary of three of Cintra's concession companies: NTE Mobility Partners LLC, LBJ Infrastructure Group LLC and NTE Mobility Partners Segments 3 LLC, which were formed to design, build, operate, finance and maintain multi-billion dollar P3 projects. Handled all legal matters from the inception of such companies until I departed to work for Cintra's corporate office in 2014, including negotiation with the Texas Department of Transportation under the respective Comprehensive Development Agreements; negotiation of various project-related agreements; preparation of risk and legal analysis of potential disputes; and handling matters related to labor and employment and insurance. Served as Corporate Secretary for three (3) Boards of Directors. Created all policies and procedures for the Legal Department, including an Ethics Policy, Employee Handbook and compliance procedures. Sourced and designed the 401K program for all three companies. Managed three legal budgets and all engagements with outside counsel. Handled all legal matters related to right-of-way acquisition and relocation. Worked closely with all departments within the organization, including human resources, technical, finance and operations.

Handled public finance transactions, in particular tax-exempt debt financing for governmental and quasi-governmental clients. Served as bond counsel, underwriter’s counsel and disclosure counsel in financing transactions for cities, counties, school districts, economic development corporations, water districts, and special districts. Served as special and general counsel to charter schools in connection with debt issuance. Also served as a member of the firm's Recruiting Committee.

Handled public finance transactions, in particular tax-exempt debt financing for governmental and quasi-governmental clients. Served as bond counsel, underwriter’s counsel and disclosure counsel in financing transactions for cities, counties, school districts, economic development corporations, water districts, and special districts. Also served on the firm's Recruiting Committee.

Worked on matters of mass tort and complex commercial litigation. Conducted legal research, drafted legal memoranda, pleadings and motions. Handled depositions and witness preparation.
