I have represented clients in a wide variety of acquisition, sale, public and private securities issuance, and loan and other financing transactions and in other corporate, securities and commercial contexts over more than thirty years. I devote a considerable portion of my practice to working with private equity fund clients. I also work regularly on structuring and documentation involving the licensing of intellectual property and technology, employment and executive compensation, and join ventures, partnerships, limited liability company and shareholder relationships. In the course of representing private equity clients, I have dealt extensively with fund governing documents and matters involving fund investors and managers. I have also handled a variety of transactions involving the sale, purchase and restructuring of troubled companies, both in and outside of bankruptcy, and have advised hedge funds on the strategic alternatives concerning such companies. My experience in securities laws matters has involved initial and secondary public offerings, private placements, Rule 144A financing transactions, and review and advice regarding annual and other periodic filings, compliance advice and other related securities law and corporate governance matters.
