Manage and lead the company’s legal department which is responsible for supporting the operations of a portfolio of nine home service brands with over one thousand franchised locations throughout the U.S. and Canada. Primary duties and responsibilities:-Provide comprehensive legal support and strategic advice to ensure compliance, mitigate risks, and drive growth. -Oversee all M&A activity-Represent the company in resolving disputes and achieving beneficial outcomes in the most cost-effective manner.-Advise the executive team on legal matters that impact business operations and strategic initiatives. -Ensure compliance with federal, state, and local laws, particularly those related to franchising, labor, employment, and consumer protection. -Draft, review, and negotiate franchise agreements and franchise disclosure documents (FDDs) in accordance with the Federal Trade Commission (FTC) regulations and state-specific franchise laws.-Manage the registration and renewal of franchise offerings in compliance with regulatory requirements.-Oversee franchisee compliance, resolving disputes and enforcing franchise agreements as necessary.-Protect and manage the company’s intellectual property and trademarks.-Draft, review, and negotiate a wide range of contracts, including vendor agreements and service contracts.-Develop and maintain standard contract templates.-Identify potential legal risks and develop strategies to mitigate them.-Oversee litigation and dispute resolution processes, including managing relationships with outside legal counsel.-Handle claims and complaints from franchisees, customers, and third parties.-Advise the board and executive team on corporate governance matters.-Provide legal support on employment-related matters, including employee relations, employment agreements, terminations, and compliance with labor laws.-Monitor changes in laws and regulations that may impact the business and advise the executive team accordingly.

Managed the company’s legal affairs and provided counsel and support to the Board and executive team. My responsibilities included regulatory compliance, M&A, corporate governance, contract drafting, data privacy, employee relations, intellectual property, consumer protection, insurance, risk management, real estate, investigations, and litigation. Highlights:-Consistently kept annual total legal spend below budgetary targets and industry benchmarks.-Managed the successful acquisition of multiple companies throughout the United States as well as all other M&A related deal work. -Created strategic regulatory compliance plans and processes to improve operational speed and efficiency while remaining legally compliant throughout business operations in 15 states.-Created and developed company contract repository to include partnership agreements, operating agreements, NDAs, master service agreements, sales contracts, subcontract agreements, M&A agreements, power purchase agreements (PPA), EPC agreements, teaming agreements, MIPAs, employment agreements, and other company contracts. -Navigated a number of highly complex state and federal regulatory frameworks related to procurement law, energy and utility regulation, and data privacy. -Successfully defended and pursued numerous high-stakes litigation matters and favorably resolved pre-litigation disputes.-Led the pursuit of Lanham Act related litigation claims against a major competitor while lobbying against its unethical and unscrupulous business practices. Less than a year after reaching an out-of-court settlement, the competitor filed for liquidated bankruptcy and became the subject of ongoing investigations by multiple state attorney general’s offices across the United States. -First internal attorney hired by the company.-Recipient of multiple company awards, including being recognized as one of Sigora’s most valuable employees in 2020 and 2021.

Oversaw the company’s aggressive business expansions into new states while being responsible for insurance portfolio management, vehicle fleet management, state and local contractor and business licensing, bonds, real estate and office space, and all other compliance and administrative services.

Provided legal counsel, advice, and representation for client matters involving personal injury, civil litigation, and consumer law.

Provided administrative and legal support as part of multinational government contractor focused on developing, planning, and executing international and domestic Solar Decathlon events. Assisted in the execution of multiple successful events held in the Middle East, South America, Asia, and Africa. The Solar Decathlon is an award-winning competition whose chief mission is to spur technological innovation and the adoption of sustainable development in the construction and home building industries. The Solar Decathlon and similar events continue to be held regularly in the United States and throughout the world.
