I established and managed the legal department at Skuid, a high-growth UI/UX SaaS startup. I served as a valued member of the Senior Leadership Team that helped guide company expansion from $5M to $21M in ARR. Additionally, I served as Secretary, interfacing with Board Members, maintaining minute books and managing employee stock options. My contributions included:• Overhauled agreement templates for product subscriptions, professional services and alliances; negotiated dozens of enterprise software agreements each year.• Co-led cross-functional teams to prepare for and ensure GDPR and CCPA compliance; updated privacy policies, drafted DPA form, and trained team members.• Worked with outside counsel to negotiate equity investment and credit facility agreements, form and maintain UK and Swiss subsidiaries, and protect domestic and international trademarks.• Collaborated with HR and outside counsel to successfully resolve employment issues.• Maximized efficiency by using Skuid product to build in-house contract review and management application.

During this time, I worked part-time while helping to raise my young children. I advised and represented small business clients with entity formation, contract negotiation, employment, and business operations matters. I drafted and negotiated enterprise SaaS agreements, commercial property leases and purchase and sale agreements, and served four years as outside General Counsel to an award-winning local retailer.

I advanced through ever-increasing roles for an iconic entertainment retailer that operated an online store, record label, and distribution company, in addition to 150+ domestic and international retail locations. My achievements include:• Negotiated and drafted complex technology agreements and software licenses in support of e-commerce, store management and distribution/inventory systems.• Reduced outside legal costs by working with real estate and finance departments to manage a high-value (owned and leased) real estate portfolio; reviewed, drafted and negotiated leases, amendments, construction contracts, estoppels, and SNDAs. • Resolved FTC and state regulatory investigations into website security breach, incurring no fines (despite a $600K initial demand); and worked with IT team to establish new privacy and data security protocols.• Worked with internal stakeholders and outside counsel to negotiate senior credit facilities, address employment matters, and maintain Tower's extensive trademark portfolio.• Improved corporate governance while reducing costs by bringing Corporate Secretary function in-house; took minutes, drafted consents, and maintained minute books for parent company and multiple subsidiaries.• Led initiative to negotiate and complete documentation for sale and leaseback of $65M in real property, saving more than $500K in outside fees.• Assisted with wind-down of business, including recovering more than $650K from former landlords.
