Some of my notable transactions s include:-Compliance in financial services: auditing processes for fintechs (MFBs, cross-border payments, etc) to determine compliance with regulatory requirement. Working with client’s product team to Integrate compliance into operations and products. preparing comprehensive compliance checklist for client to guide their operations.Real Estate Tokens (Finance): Advised a foreign real estate company on the issuance of real estate tokens as securities in Nigeria in light of the SEC’s Rules on the Issuance, offering platforms, and custody of digital assets.- organized a breakfast meeting of Digital Loan Operators, Nigeria Inter-Bank Settlement System (NIBSS), and Shared Agency Expansion Facilities (SANEF) exploring viable solutions for improved loan recovery in Nigeria.

Under the supervision of the partner-in-charge, I lead the fintech team of the firm in all its transactions in areas such as regulatory compliance, financing, drafting legal opinions, contract negotiation, data protection and privacy. Some of my notable transactions include:- Regulatory compliance: advising a foreign cross-border money transfer company in its operation in Nigeria. This includes liaison with the Central Bank of Nigeria for the licensing of the company, preparation of a detailed compliance checklist for the smooth operation of the company, and drafting key agreements regulating the operation of the company including Agency Agreement with banks and platform documentations.Legal Advisory- advises one of the foremost payment gateways in Nigeria on its business activities; including negotiating agreements with acquirers and merchants, drafting platform documentation (privacy policy, cookies policy, and terms of use), and drafting comprehensive compliance checklists for the company.Private Equity- negotiated the acquisition of a 15% stake in a Meditech company by a syndicate of investors. The transaction included negotiating the price per share and the shareholders agreement regulating the relationship between the founders and the investors.Private Equity- SAFE: negotiated a SAFE (Simple Agreement for Future Equity) between a crowd funding company and investors. The trigger conversion event is a priced financing round.Private Equity: Negotiated a share acquisition between a company and one of its service providers.

- Private Equity (Management Buy-Out)- Negotiated a management buyout of a part of business of crowdfunding company in Nigeria. Transaction also involved valuation of the business and negotiating price of the shares. Being part of the business of the company, the buy out also took into consideration assets of the business, employees and intellectual property associated with the business.- Mergers and Acquisition: Advised two affiliated Oil and Gas Servicing companies in internal restructuring that resulted in the merger of the two entities.- Negotiated Meter Supply Agreement between the foremost indigenous meter manufacturer in Nigeria and 8 Distribution companies under the Meter Asset Provider Regulation.
