Represent and advise clients in compliance, real estate, tax and general corporate matters. Real Estate Representation Includes: Commercial Leases: Negotiate and draft commercial leases, lease amendments, SNDAs, estoppel certificates and other related documents. Acquisitions: Negotiate and draft purchase agreements, deeds of trust, promissory notes and other related documents. Commercial Closing: Draft loan documents and review of title reports, disclosures, and other due diligence materials relating to commercial real estate closings Landlord -Tenant: Resolve landlord and tenant disputes. Regulations, Boundaries and Construction: Provide advice and counsel on various real property matters including easements, CC&Rs, zoning, permits, eminent domain, stop notices, mechanic liens, performance bonds and general construction matters. Entity Formation: Set up special purpose entities including building corporations and limited liability corporations.  Alternative Dispute Resolution: Negotiate settlements and represent clients in mediations and settlement conferences. Non-Real Estate Matters: Contracts: Draft and review contracts and policies. Advice and Counsel: Provide general legal support to nonprofit organizations. Tax: Set up new benefit plans and other nonprofit entities. Draft bylaws and articles of incorporation. Prepare applications for tax-exempt status with the Internal Revenue Service and Franchise Tax Board. Plan Administration: Provide counseling on plan administration issues, interpretation and application of plan and statutory provisions, prepare plan and trust amendments, review of summary plan descriptions and participant communications and prepare determination letter applications. Attend and participate in board meetings and benefit claims and appeals hearings, prepare and present ongoing training for clients on relevant employee benefits plan issues and oversee internal reviews and supplemental projects.
