Mergers and other business combinations under antitrust scrutiny were the principal focus of my practice. I had over 30 years of experience, including service in senior positions with the Department of Justice, Antitrust Division, as an advisor and problem solver working in a wide variety of industries. My involvement in deals ran the gamut from advice on structuring and risk allocation to litigating government efforts to enjoin the transaction. Working closely with corporate counsel, and applying my detailed knowledge of Hart-Scott-Rodino (HSR) regulations, I took an active role in structuring business combinations to avoid antitrust problems or minimize my clients' antitrust risk. I acted as lead counsel in scores of transactions representing clients in investigations conducted by DOJ, FTC, and State Attorneys General. Where necessary, I litigated on behalf of clients in administrative proceedings and in federal court.
