AperiamVentures is a venture capital fund whose mission is to fund and support entrepreneurs and companies that are driving the digital transformation of media and marketing. Responsible for all legal aspects of the fund’s formation, launch and ongoing administration, including regulatory compliance and deal reviews. Member of the fund’s investment committee evaluating potential investments. Work closely with portfolio companies to manage risk and enable growth acceleration.

Advised on legal aspects of MediaMath’s financings and M&A activity, and supported in the definition and development of corporate policies, procedures and programs, as well as compliance with data privacy, laws and regulations.

Promoted to lead counsel for all M&A, joint ventures and venture investments globally in addition to the roles and duties set forth under Senior Vice President and General Counsel, North America below.

Lead lawyer for Nielsen’s retail measurement and analytics business (Buy segment) in North America. Also serve as head of Nielsen’s commercial transactions group, which consists of 15 lawyers and 3 paralegals that provide legal support across all Nielsen business segments in North America. Provide business practical legal advice and risk assessments to the CEO and other members of the North America senior leadership team on day-to-day operations and strategic business initiatives. Draft and negotiate complex commercial transactions including joint venture agreements, strategic alliance agreements, joint marketing and development agreements, and inbound and outbound technology licensing and support agreements. Negotiate and advise on M&A activities and other business development initiatives.

Lead lawyer for all of Nielsen's digital business units, including Online and Mobile.Primary areas of responsibility included business legal counseling, complex commercial contracts, M&A, data privacy and security matters, management of legal staff, and strategic planning and overall management of the Nielsen Digital organizations.

As the number-two attorney for a leading, publicly traded Internet market research provider, actively handled a wide variety of the company’s legal initiatives. Primary responsibilities included commercial contracts, privacy, mergers and acquisitions, general corporate governance and securities compliance (including securities filings under the ‘34 Act) and providing day-to-day business legal counseling, including to the senior management team.

Lead lawyer for venture capital-backed Internet start-up. Assisted the company with its planned IPO and other capital raising efforts including various private placements, bridge loans and mezzanine financings.

Focused on mergers and acquisitions and corporate finance, in each case responsible for conducting due diligence, drafting key documents, negotiating terms with opposing counsel, serving as primary day-to-day contact point for clients, preparing SEC filings and closing the transaction.
