While at WPD, I worked in the corporate law and transactional practice area, which included, among other things:- drafting and reviewing business-related documents including supply, distribution and purchase contracts, service agreements, independent contractor agreements, non-disclosure and confidentiality agreements, licensing agreements and leases;- composing and negotiating agreements for the purchase and sale of businesses;- assisting clients with intellectual property needs, including patent and trademark prosecution, searches, and opinions;- researching and drafting memoranda concerning business and corporate law;- preparing commercial litigation pleadings, motions and memoranda of law;- assisting with corporate governance and maintaining corporate records for corporations, S-corps, and LLCs; and- attending court calls on commercial, family law, probate, and criminal matters.

Researched and drafted memoranda on numerous topics of law affecting property tax assessment and legal issues affecting operation of new collective bargaining agreement. Reviewed and analyzed lease and license agreements.

Helped entrepreneurial clients with various intellectual property related needs including drafting a patent application for a mechanical device, conducting patentability searches, drafting non-disclosure agreements, and conducting client meetings.
