Secondment from Herbert Smith Freehills to Boral Limited's in house legal team.Experience included advising a wide range of Boral's business on M&A transaction implementation, construction contracts, distribution and procurement arrangements, IT services agreements and licensing arrangements.

Transactional experience included:- BHP Billiton's US$12 billion demerger of South32.- Boral Limited's $1.6 billion joint venture with USG Corporation in 12 countries across Asia, Australasia and the Middle East.- Perpetual's acquisition of The Trust Company by scheme of arrangement.- Elders Limited's sale of its Futuris Automotive business to Clearlake Capital Group, L.P..- United Technology Corporation's acquisition of UHS Systems Pty Ltd, a proprietary intrusion technology business, from Hills Limited.- The Boston Consulting Group, Inc's acquisition of S & C Pty Ltd, to launch the BCG Digital Ventures business in Australia.

Advised on private M&A transactions, with a focus on private equity and investment banking transactions. Credentials include advising:- Troika Dialog on the US$300 million sale of 36% of its shares to Standard Bank- a major Japanese conglomerate on the establishment of a joint venture with FESCO Transportation Group focused on providing warehousing and distribution services in Russia- Chevron Texaco on its interests in Russia- Goldman Sachs, Gazprombank and Citibank in relation to the acquisition of a controlling stake in RosEuroDevelopment, a Russian commercial real estate developer, in return for restructuring RosEuroDevelopment's debt- Goldman Sachs on its investment into Arricano Trading Limited, the owner of five Ukrainian shopping malls, structured as a US$40 million convertible loan secured by third-party London-listed GDRs- Hershey on potential joint venture opportunities in Russia and potential acquisition of a Russian chocolate producer- Renaissance Capital on its private equity style investment in OAO Transelectromontazh, associated joint venture arrangements and the subsequent exit- Renaissance Capital on arrangements amongst shareholders and employee incentive plans- RosEuroDevelopment on the disposal by Gazprombank of its debt and equity interests in RosEuroDevelopment- RosEuroDevelopment on restructuring of its US$165 million mezzanine financing and associated corporate restructuring whereby the outstanding mezzanine indebtedness was significantly reduced and its original shareholders regained control of the company from lenders- Tinkoff Credit Systems Bank on approaches from a number of potential private equity investors

Experience included rotations in litigation, structured finance and corporate (private equity) departments, as well as a three-month secondment to the Milan office.

Experience included:- co-leading the acquisition of a spirits bottling facility and distribution company in Vietnam- analysing and advising on product pricing across the South East Asia region- liaison with customs and excise officials in Thailand and the Philippines in relation to import/excise duty disputes- analysing customs, excise and value-added taxation regimes in South East Asia and their impact on approaches to product manufacture and pricing- establishing evidence based approaches to alcohol policy
