I regularly advise community banks on all aspects of their corporate existence, including capital raising, mergers and acquisitions, securities law compliance, and regulatory compliance. I also advise private equity funds on various aspects of their investments in financial institutions, including compliance with regulatory limitations.Representative Matters since 2012 include:- Representation of a $200 million troubled bank holding company in a successful 363 bankruptcy auction of its subsidiary bank;- Representation of a billion dollar public bank holding company in a $90 million recapitalization, including resolution of its TARP preferred stock and disposition of troubled assets;- Representation of a private equity fund in investments in numerous community banks, including common and preferred investments, as well as senior and subordinated debt issuances;- Representation of a billion dollar public bank holding company in an acquisition of a private bank holding company for approximately $25 million; and- Representation of several private banks and bank holding company in sale transactions, in both cash and stock transactions.
