Rob Adamson is a transactional securities attorney, who specializes in equity derivative trades and related regulatory matters. Rob advises financial institutions, investment funds, and corporations on negotiating, documenting, and executing transactions—some of which include accelerated share repurchases, call spread transactions, issuer forward sales, prepaid variable share forwards, swaps, complex hedging structures and other structured equity transactions. Additionally, Rob negotiates relationship-level derivative agreements such as ISDA Master Agreements, Credit Support Annexes, and Master Confirmation Agreement for dealers and end users.Rob utilizes his mathematical acumen to advise financial institutions on the structure and mechanisms of complex financial instruments to maximize profitability while reducing risk and volatility. Rob also counsels clients on regulatory issues including matters relating to Section 13 and 16 of the Securities Exchange Act, Section 5 of the Securities Act, the “Swap” and “Security-Based Swap” Rules under Dodd-Frank, Reg M, Rules 10b5-1 and 10b-18, Reg SHO, and Hart-Scott-Rodino each as they relate to derivative trades. Prior to establishing his legal practice, Rob Adamson was licensed as a certified public accountant (CPA) and worked as an assurance associate for one of the “Big Four” accounting firms.
