● Management of Legal Team. Oversee day-to-day legal operations, including tasking and direct reporting of Assistant General Counsel, two senior paralegals and administrative assistant. ● Commercial Contracting. Responsible for NICB’s commercial contracting. Negotiate, draft and revise all manner of complex commercial contracts including licensing, data use, SaaS, employment, severance, independent contractor, vendor, master service, commercial leases, confidentiality, non-solicitation, and other agreements.● Counsel Executive Team. Provide concise, actionable legal and strategic advice to NICB’s senior leadership team on all manner of issues including operational risks, employment/HR, product development, intellectual property (i.e. trademark and copyright), data privacy, and legislative impact. ● Litigation Management and Dispute Resolution. Resolve pre-litigation disputes and manage litigation docket. Identify, retain, and oversee outside counsel to protect NICB’s operations across all 50 states. Manage NICB subpoena and discovery compliance, including eDiscovery. Represent and defend NICB and NICB employees in depositions, mediation and settlement conferences; prepare NICB witnesses to testify.● Enterprise Risk Management. Develop and implement enterprise risk management program to identify, analyze, prioritize, mitigate and monitor organizational risk. Manage company insurance portfolio.● Corporate Governance. Responsible for organizational compliance with By-Laws. Organize Annual Meeting of the Members and Bi-Annual Board of Governors meetings. Prepare corporate resolutions and maintain meeting minutes. ● Legal Review. Expeditiously review intelligence and published materials, including press releases, for legal content to minimize risk. Establish legal guidelines for limiting the use of personally identifiable information, while preserving the quality of NICB data analytics products.
