As Associate General Counsel, I am responsible for multiple legal aspects of global strategic initiatives for Zimmer Biomet and orthopedic commercial operations in US, Canada and LatAm ($4.0B revenue). Member of multiple management teams and committees providing leadership, legal support, business acumen, strategic input and risk-assessment guidance involving business development, Americas commercial organization and various corporate initiatives. My role includes a wide variety of responsibilities involving the management of complex domestic and international transactions, including acquisitions, divestitures, spinoffs (e.g., Zimmer Biomet / ZimVie ($1bn)), equity investments and joint ventures. Additionally, as the lead BD lawyer for Zimmer Biomet, I oversee and manage due diligence, draft, review and negotiate broad range of contracts including nondisclosure agreements, letters of intent, asset and stock purchase agreements, merger agreements, equity investment agreements, joint venture and distribution agreements.
