Advised public, private and PE backed clients across Switzerland, Germany and the US on financial accounting, reporting and due diligence matters in connection with complex transactions. Experience includes leading teams in divestiture and integration projects involving:• Complex historical financial data, pro-forma and carve-out reporting under US GAAP and IFRS• Preparation of carve-out journal entries, consolidation schedules and Form 10-K financial statements• Technical accounting whitepapers (US GAAP and IFRS) and accounting standard changes / conversions• Post transaction cut over, system implementation and stand-up of global manufacturing site assets• In-depth financial analysis, financial due diligence procedures and liaise with auditors / consultantsIllustrative transactions include:• Tax-free spin-off assistance (audited carve-out financials, deal-basis financials and legal separation and cut-over) for a ~USD 130 billion merger as well as three-way tax-free spin-off of global material science and agricultural chemical companies from a global chemical holding company• Carve-out (audited financial statements) and sell-side financial due diligence assistance for the sale of healthcare packaging (~CHF 135m) and masterbatches (~USD 1.6B) businesses from a global specialty chemical company

Responsible for leading projects in advising clients on all aspects of the lending decision-making process, including sensitized cash flow / business plan projections, due diligence, collateral analysis and agreed-upon procedures for multiple bond offerings that included issuance of comfort letters.

Responsible for leading large engagement teams in providing assurance services to both public and private clients primarily in the energy and petrochemical sectors. Successfully led multiple 3-year carve-out audits to support initial public offering and debt/equity offering filings. Performed work over technical accounting areas, such as, business combinations and goodwill. Significant experience in providing services for the annual integrated audit process, including SOX and PCAOB compliance and in SEC reporting, including 10-K, 10-Q, and filings in connection with the registration of securities.
