Seventeen years experience as a General Counsel. Five years as GC of NRG Retail, a $5 billion retail division of NRG Energy, Inc., a Fortune 200 energy company (NRG). Twelve years as Chief Legal Officer of Green Mountain Energy Company (GME), an Austin-based retail energy startup, with a successful exit through an acquisition by NRG. In these roles, I have:• provided strategic and legal advice to senior management, as well as to GME’s board of directors;• managed GME annual and special stockholders’ meetings;• closed multiple debt and equity financing rounds at GME;• completed a debt restructuring and equity recapitalization in preparation for an exit at GME;• worked with GME’s senior management and board of directors on exit strategies, including IPO planning;• closed multiple M&A transactions;• participated with senior management on strategy development, business plans, risk management, and crisis management;• managed non-legal functions, including regulatory and government affairs, HR, IT, and environmental affairs; • served as NRG’s Privacy Lead, with responsibility for enterprise-wide data privacy issues, in particular mass-market retail customer PII and employee PII;• served on the board of directors of NRG’s PAC;• served on the board directors of the Electric Reliability Council of Texas;• managed $10MM+ legal budgets; and • managed large and small teams, some with nearly 30 professionals in multiple locations, others with four professionals in a single location.
