Working with a young start-up to develop accounting systems and financial records from incorporation, forecast growth, identify and address financial and operational challenges in the growth strategy, and create useful information for investor presentations.

• Treasury and corporate finance operations:o Negotiated & coordinated complex and minor amendments to bank syndicate agreement (up to $150m, 5 to 8 banks), as well as day-to-day banking matters.o Cash and debt management/forecasting for US and foreign operations.o Primary fx trader, reduced average margins on trades by 97%.o Coordinated credit card programs, reducing fees on payments received by more than 60%.• Financial planning and analysis:o Designed, updated, and maintained global financial forecasts on a quarterly basis.o Developed and trained on key global financial reporting, consolidation, and budget models.• Mergers and acquisitions:o Involved in a number of M&A and related transactions or potential transactions, including both buy-side and sell side transactions. Provided tax and business advisory services to small and mid-sized (up to $950m) businesses:• Prepared income tax workpapers and disclosures for public and private clients, including acquisitions, dispositions, and foreign operations reporting.• Developed comprehensive analyses and reconciliations, including for IRC §382 and reconciliation of book and tax depreciation records in an ERP transition.• Worked with Controller to develop detailed acquisition accounting and trial balances for a multi-tiered acquisition.

Leader on M&A and other transactions and analyses• Recruited to join EY's West Coast Transaction Advisory Services team in 2000, part of EY's National Office.• Led or co-led teams of up to 10+ on more than 120 domestic and international transactions, comprised of both asset and stock deals (roll-ups, other strategic, private equity, buy side and sell side), mergers, spin-offs, and joint ventures.o Deal sizes were up to $1+ billion, involving public and private entities in technology, manufacturing, real estate, services, and other industries.• Advised clients and their legal counsel on restructuring, repricing, indemnities, and other steps to mitigate material risks.• Designed financial models customized for strategic acquisitions or dispositions of assets and/or subsidiaries, bankruptcy reorganizations, and internal restructurings.Broad tax planning, compliance, and accounting experience• Prepared and reviewed corporate tax provisions under FAS 109 for federal, state, and foreign taxes.• Coordinated responses to federal and state tax notices, audits, and examinations.• Designed and operated the accounting systems for two separate charities.• Managed teams up to 15+ servicing business, non-profit, and individual clients, substantially expanding services provided to many of these clients.• Led office’s IT function, including major upgrades to operating systems and software.
