Practice focuses on international business structuring and taxation, concentrating on global business planning, a process of assessing international tax and operating cost exposures and then designing strategies for management of cost efficiency and key value drivers.Practice includes the assessment of tax risks inherent in international sales, distribution or manufacturing operations, and evaluating the international structure and transaction flow, as well as the design of strategies that can be integrated into international business functions such as trading companies, shared services centers, regional headquarters, procurement/sourcing offices and holding companies. Practice also includes the implementation of principal operating models, tax deferral structures, entity restructurings, holding structures and acquisition structuring.

• Worked directly with clients to develop and implement domestic and foreign restructurings related to IP migration, State apportionment plays, and planning to utilize international rate and attribute benefits.• Researched and drafted technical memoranda and opinions on state, federal, and international tax consequences relating to internal restructurings, acquisitions, loan rationalizations, and IP migrations.• Prepared and/or reviewed and worked with clients to complete federal corporate tax returns, state tax returns, and foreign filings such as 5471s, 8858s, 1042s,and 8865s and associated workpapers.• Participated in the review and audit of clients’ current and deferred federal, state, and international tax provisions, FIN48 reserves, and valuation allowances as well as methodologies regarding such.• Worked directly with Partners and clients to complete tax advisory projects related to the research and development credit, transaction cost capitalization, and state apportionment studies.• Research and drafted requests for private letter rulings from several jurisdictions related to sales and use tax and cloud software.• Prepared and delivered presentations on tax opportunities and tax plans directly to clients and pitched potential engagements to clients.• Participated on and drafted reports related to tax due diligence engagements related to potential targets of clients.
