Simon is an accomplished corporate lawyer with considerable Private Equity and M&A experience gained internationally with Magic Circle and US law firms. Additionally, Simon has a strong commercial law background and has negotiated on most aspects of the law – whether it be the day-to-day operation of a business, intellectual property protection, environmental / property law, employment law including harassment cases and significant litigation which has run to the High Court with a victorious result. Through his career he has also undertaken a number of in-house secondments to assist clients in times of demand.A consummate business developer, Simon has achieved considerable success working across investment banking and corporate equity broking.     Simon returned to Australia in February 2017 to set up RSquared Global with the backing of a significant high profile and net worth investor. Inside 6 months RSquared advised a technology company on the quickest matched funding applications that was approved by the Queensland Investment Corporation (“QIC”). He has advised on the largest merger between two QIC back companies for an implied EV of $25 million. Additionally RSquared was the independent adviser to Paradigm Pharma (ASX: PAR) raising circa $5.5 million through Morgans Stockbroking. In December 2022, Simon acted for South Australian interests in negotiating the split of an agri-business which was valued at about $100 million.The transaction included: • implementation of a comprehensive plan encompassing strategy, scenario analysis and simulated negotiation. • the clients Simon advised achieved all the desired outcomes they set out to. Inside 6 months of being at White and Case, Simon advised and managed the sale of Innoviia Films (on behalf or Arle Capital) to a Japanese buyer Futamura. The transaction was for a value of circa US$100 million.The transaction included:• negotiating the Asset Sale and Purchase Agreement;• co-ordinating the W&C legal team which included collating and managing advice across multiple jurisdictions (Europe / Brazil / Mexico and Australia). The transaction was complicated by the fact that the acquirer was Japanese and used United States Counsel. The clients (Innovia) were exceptionally pleased with the result and are willing to act as referees as is the White & Case Partner on the matter Ross Allardice (now with Dechert, London)

Illustrative transactions include:Wanda US$750 million Acquisition of Jewel Australia Lead solicitor on Wanda’s circa US$1 billion acquisition of Jewel in Australia which included the negotiation of a Share Acquisition Agreement, which included amongst other issues: • earn out provisions; • ability to carry forward tax losses; • financing and completion mechanics Wanda US$1 billion Acquisition of Hoyts AustraliaLead solicitor on Wanda’s circa US$1 billion acquisition of Hoyts Australia. Involved significant cross border transactional issues with the acquisition vehicle being structured through the Caymans and BVI – whilst finance was provided from Asia and the acquisition target was Australian. The transaction included the:• establishment of BVI and Cayman corporate structure for acquisition; • advice relating to existing finance documents and “acceleration of potential debt repayments” as a result of acquisition; • co-ordinating acquisition and financing of transaction.
