Involved significant cross border transactional issues with the acquisition vehicle being structured through the Caymans and BVI – whilst finance was provided from Asia and the acquisition target was Australian. The transaction included the:• establishment of BVI and Cayman corporate structure for acquisition; • advice relating to existing finance documents and “acceleration of potential debt repayments” as a result of acquisition; • co-ordinating acquisition and financing of transaction.
