- Advising on mergers and acquisitions in the ad tech space, working closely with both the General Counsel and the Manager of Corporate Development.- Lead drafting and negotiation of M&A purchase/sale agreements, and related deal documents (NDA, LOI, engagement letters, etc.).- Organize and direct due diligence, in coordination with the Criteo M&A team.- Advise on deal structure and negotiation strategy.- Advise on a variety of business, operations and risk management issues.- Market watch on regulations and laws in the field of online advertising, public policies and privacy.- Oversee securities reporting procedures for, including but not limited to, Forms 10-Q and 10-K, the Company Proxy filings and Forms 3,4,5,13D and 13G.- Lead review of documentation related to any company debt or equity transactions.

Sarah represented U.S. and international issuers and underwriters in a variety of capital markets transactions, including registered public offerings, private placements, restructurings and liability management transactions (exchange offers, tenders offers and consent solicitations). Sarah is experienced in a broad spectrum of securities products, ranging from high-yield to investment-grade debt securities and from common equity to convertible debt and other equity-linked securities. Sarah also acted as U.S. acquisition counsel to Canadian companies in cross-border transactions, and advises issuers in connection with ongoing reporting obligations, corporate governance requirements and interactions with U.S. stock exchanges and other regulatory bodies. Sarah has worked on numerous financing transactions under the Canada/U.S. Multijurisdictional Disclosure System (MJDS).
