As well as acting as general counsel for a group of recruitment companies, the role extends beyond exclusively legal matters into areas of senior management, operations and HR. This involved working with the group’s recruitment consultants and other senior members of the business on strategic project management, marketing, internal logistics, compliance, employment, IT, benefits, and recruitment. Part of the role consists of exclusively legal matters such as running board meetings and reviewing terms and conditions with clients, suppliers and landlords, including advising with regards to contentious matters (such as external fee disputes and internal HR matters), but the scope is much wider than that alone. Duties also require liaising extensively with external advisers (legal, accounting, and HR), regulators (Companies House, the Information Commissioner’s Office, the Pensions Regulator), and IT/infrastructure suppliers (telecommunications companies, external IT support, website designers) in order to ensure the smooth continuation and enhancement of the day-to-day running of the business. Major matters on which I have either taken the lead or partnered with other senior members of the support staff include investigating a financial misconduct/pensions issue, initiating and conducting a fraud investigation (including managing external advisers and internal support in a successful defence against an unfair dismissal claim from a former Chief Executive), a corporate reorganisation (including cleanly concluding an allied redundancy process), and benefits reviews. Other important matters include drafting the group Privacy Policy, training and development for consultants in areas such as GDPR compliance, and drafting a COVID-compliant Health & Safety policy.

The role consisted of wide-ranging duties covering operations, legal matters and editing for a start-up news website. This included liaising with American editors and corporate staff, instructing external counsel on internal legal and HR matters, identifying office premises, managing relationships with freelance contributors and suppliers, and providing training and advice in relation to matters such as contempt of court and defamation.

Worked in conjunction with the business infrastructure team in Maidstone to run the firm’s new office bringing the business proximity to the Royal Courts of Justice and Inns of Court. Matters included: - Merlin Entertainments Group Limited £72.5 million secondary buyout – advising the management team on transaction documents relating to the London Dungeon and Sea Life Centre businesses; - Lion Foods Limited – £4 million management buy-in: advising the buy-in team; - Birkby's Plastics Limited management buyout from the Marubeni Corporation – advising on transaction documents relating to the automotive and specialist industries plastic component manufacturers; and - Royal & Sun Alliance plc – sole adviser on the disposal of the Credit Insurance book of business to Amlin Credit Limited and the closure of other lines of business involving negotiating and drafting the agreements, coordinating the internal regulatory, marketing, HR and corporate finance departments; provision of other more general company and commercial advice relating, inter alia, to supply contracts and IT agreements.
