Founded this law practice with a goal of providing competitively-priced legal services to corporate clients in the capital markets and general corporate areas. Since its inception, Macpherson Counsel has acted as outside general counsel on several matters to LG International (America), Inc., part of the Korean Lucky Goldstar conglomerate. Matters have included selecting and monitoring outside litigation counsel and acting as co-counsel in significant bankruptcy and arbitration matters, selecting and monitoring local counsel and acting as co-counsel in a condemnation proceeding involving a significant commercial property in New Jersey, and selecting and monitoring outside litigation counsel and acting as co-counsel in defending a lawsuit involving a significant sales commission litigation. Macpherson Counsel has also acted as outside general counsel to three start-up businesses, drafting organizational papers, operating agreements, securities offering documents, consulting on business decisions and strategy and reviewing a variety of business contracts.

Acted as general counsel and business advisor for this registered public company in connection with all federal securities laws, financing and general corporate matters, including Sarbanes-Oxley compliance, strategic business planning and restructuring matters. Guided the company through multiple restructurings involving challenging market situations; created an innovative exchange program delivering significant return to existing investors while driving real capital investment into the company. Worked with the company on creative fee arrangements in order to maximize services in hard financial times. Acted as strategic advisor to senior management and board concerning financial strategies. Acted as corporate secretary.

Over eighteen years of experience in all aspects of corporate securities/capital markets transactions and general corporate law, including deal structuring, document negotiation and drafting. Transactions include public and private debt and equity offerings, hybrid securities, structured financings, mergers and acquisitions. Counsel to Fortune 500 companies regarding all aspects of federal securities laws requirements. Spearheaded significant capital markets transactions on a global basis.
