CurrentEnergy Experience• Serve as LA counsel to lenders for development and construction of $9 billion 3 train LNG facility, review and analysis of 19 lease, fee and servitude tracts, title matters (insurance, endorsements, survey, zoning, water rights, mineral title and mechanic's liens); EPC contracts, opinions, security/collateral documents; diligence memos; environmental and regulatory review; state and local tax analysis; coast guard and maritime review.• Served as lead project development and finance counsel for construction and private equity financing of $900 million offshore floating production platform and gas and oil export pipelines involving multiple leases and working interest owners, including negotiation and drafting of production handling agreements; oil and gas transportation agreements; facilities agreement; connection agreement; platform and export pipeline operating agreements; defense and indemnity agreements; BOEM memorandum, and UOAs, JOAs and amendments; and override agreements. Also counsel for subsequent refinancing.• Served as co-counsel for natural gas pipeline company for construction, development and permitting of a $1 billion dollar natural gas pipeline expansion.• Served as co-counsel for natural gas storage company in connection with financing, construction, development and permitting of a $250 million salt cavern natural gas storage facility, including $120 million credit facility, lease/fee/servitude acquisition for pipeline, meter, caverns and gas storage agreements, governmental relations and expropriation.Real Estate and Finance Experience • Counsel to a. purchaser in connection with $45 million residential apartment complex acquisition through series of membership/stock acquisitions in work-out context –closed within 2 weeks of LOI, b. lender in connection with $17 million refi of 2 nat’l flag hotels c. Less(ees)(ors) for commercial, office, retail and industrial property.
