To provide legal services, risk management, legal compliance and add value to business in the APAC region.Responsibilities and scope1. Commercial - Be primary interface with regional Sales team for customer contracting activity in the region directly or via Regional Bid management dept / Contracts dept / Solution design dept; - Assist in business negotiations and contract drafting and amendment where necessary. Identify and assess business options and assist Management in reaching business decisions; - Provide legal advice in relation to a wide range of commercial issues;2. Management of outside counsels - Manage litigation in the region, through outside counsel, where necessary - Procure opinions of outside counsel on issues when required and advising Management accordingly - Assist relevant department in coordinating with local/specialist counsels on matters such as real estate, HR3. Compliance - Be responsible for legal compliance throughout the region including support to Corporate Secretary on management of entities in the region - Be responsible for identifying and managing impact of local legal issues on business in the region - Ensure that the Asia Pacific legal team is up to date on legal and risk matters in the region - Provide support and training on contract and legal matters to Regional Bid management dept / Contracts dept / Solution design dept

1)Compliance & Risk Management - Establish and maintain a practical and effective compliance system including a wide range of compliance segments such as Code of Business Conduct, Bribery & Corruption, etc.;; - Ensure conformity with applicable laws/regulations/rules by monitoring regulatory changes affecting business and providing regulatory updates and compliance advices; - Ensure Group policies & procedures properly implemented; Support business to develop local policies & procedures; Develop and deliver compliance trainings and educational activities; - Conduct and oversee compliance review on a regular basis and ensure the compliance review meetings properly and effectively organized, facilitated and minuted; Prepare and present local compliance reports to Group; - Conduct risk assessments on a regular basis; Prepare and present periodic Risk Registers to Group; - Place and maintain various insurance policies and supervise claims settlements;2)Contract Management - Draft, review, negotiate and advise on a variety of commercial contracts and agreements for business and operation, including Tenant Agreements, Service Agreements, Purchase Agreements, IT Agreements, etc.; - Establish a practical contract management system including contract reviewing procedure, approving authority, signing & chopping procedure, and filling system;3)Corporate Legal - Support property acquisition, development and operation in the whole business structure by advising and assisting in the establishment and maintenance of onshore foreign invested companies; Contact agencies for establishing and maintaining offshore holding companies;4) Intellectual Property - Manage the registration, assignment and licensing procedures of various trademarks; Manage the registration, filing and assignment of domain names; Provide legal advices on Intellectual Property issues; Preparer monthly Intellectual Property reports to management;

Responsible for conducting legal due diligence and legal researches, preparing memorandum and other legal documents, drafting, reviewing and negotiating various contracts, and translating legal documents. My major practice areas include:Corporate & Commercial for Foreign Investment - responsibilities include establishing foreign-invested enterprises or other types of commercial vehicles in China, assets or business restructuring, acquisition and disposal, negotiating and documenting for corporate formation, and dissolution and liquidation, and obtaining government approvals, licenses, permits, and registrations; advised clients in foreign direct investment matters and general corporate & commercial matters.M&A and VC transactions - participated in a few acquisition and venture capital transactions. My role was mainly to conduct legal due diligence, draft due diligence reports, participate in designing transaction structure, draft and translate agreements and ancillary documents. Other areas including Anti-dumping & Anti-subsidy, Employment & Social Benefits, Liquidation and Bankruptcy, etc.

 Mainly participate in international litigation and arbitration cases; Main responsibilities: legal research and drafting, legal documents preparation and translation.
