Assume claims responsibility for the Credit & Surety, Bank Trade & Infrastructure (BTI) and Political Risk Reinsurance Claims. Manage from first advice to settlement a portfolio of C&S, BTI and PRI Reinsurance Claims. Negotiate and defend Swiss Re' s position with respect to reinsurance claims.

Provide full range of legal counsel to contractors, owners, and developers related to general business matters and construction projects, from drafting operating agreements and employee handbooks, negotiating construction contracts and development agreements, to providing legal counsel during project construction. Represent clients in drafting and negotiating terms of commercial real estate contracts, notes, mortgages and lines of credit. Investigate, manage and administer payment and performance bond claims on behalf of sureties with respect to both private and public construction projects. Draft and negotiate documents securing indemnitors’ debt to surety, including UCC-1 financing statements, notes, mortgages, settlement agreements, assignments and affidavits of confession of judgment. Represent contractors and sureties, through all phases of litigation, in disputes concerning breach of contract, mechanic’s lien foreclosure actions, proceedings to impress a trust under Article 3-A of the New York Lien Law, coverage, indemnification, and subrogation. Take and defend depositions, successfully draft and argue dispositive motions, draft appellate briefs. Conduct investigations, and institute turn-over proceedings and mortgage foreclosure actions in order to enforce money judgments. Served as 1st chair in one trial and 2nd chair in two trials.

Litigated diverse caseload of commercial disputes involving breach of construction contracts, restrictive covenants, ERISA, and enforceability of loan agreements. Negotiated contracts for and attended closings of various transactions, including sales of real property, and commercial and residential loans. Drafted and revised mortgage and other financing documents.

Advised and reported directly to principal of $20 million employee-leasing company while overseeing all aspects of corporate legal affairs. Drafted and reviewed memoranda, briefs and responses to legal pleadings. Prepared witnesses and directed production of documents. Represented the corporation in administrative and court proceedings in workers’ compensation, state unemployment insurance and contract disputes. Litigated and recovered, within three years, more than $4 million in collection claims against debtors. Ensured compliance with state licensing, registration and statutory requirements. Negotiated, drafted and revised corporate agreements, such as shareholder agreements, service contracts, assignments and independent marketing agreements. Counseled client companies in all aspects of the employment relationship including with respect to human resource policies and federal and state labor and employment laws, such as the FMLA, COBRA, FLSA and ERISA.
