CORPORATE & STRATEGIC FINANCE DEPARTMENTThe Business Unit has as its primary mission the development of M&A and Advisory consulting services on corporate customers as well as on specific customers in the Public Sector, General Contractors & Building materials, providing Group Clients consulting services relative to M&A and, more generally, in the advisory sector promoting, developing and executing mergers, acquisitions, disposals, and restructuring operations. Oversee the origination, execution and syndication of financial products on the primary share market such as Initial Public Offerings (IPO), share capital increases, Public Purchase Offer (PPO), and Public Purchase and Exchange Offers (PPEO), securities consisting of a mix of shares and bonds as well as shares of real estate and specialist funds, coordinating with the Relationship Units for the areas of their competence. Oversee the origination, structuring, and syndication/distribution activities, also through the participation in underwriting syndicates and the placement of bonds by corporate, bank, and public issuers, structured and non-structured, coordinating with the Relationship Units for that within its purview of.

Develop, manage and distribute competitive Investment Banking products and services in order to optimise financial risks and the capital structure of clients. Meet the needs of clients operating in the Investment Banking segment, with a view to creating value for the Intesa Sanpaolo Group by offering products and services pursuing excellence. Assist clients in all their needs connected with the financial market in close cooperation with the relationship organisational units of the Corporate & Investment Banking Division, of the Banca dei Territori and with all the other relationship units/companies of the Intesa Sanpaolo Group. Provide Group Clients consulting services relative to M&A and, more generally, in the advisory sector promoting, developing and executing mergers, acquisitions, disposals, and restructuring operations. The International Department of the INTESA SANPAOLO Group’s bank has been given responsibility for developing a portfolio which today comprises some 750 international groups and has as its primary focus the development of prospect names and the cross selling of products and services designed for industrial sectors/markets.

Development of (i) International Origination, Advisory, Public Private Partnership (PPP) and European Structural Funds for public and infrastructure finance activities of the Group; (ii) management of relation and business origination with Governments, Sub-Sovereign entities, Public Companies and Special Purpose Vehicles for infrastructure projects; (iii) structuring public finance transactions with the above mentioned clients, as well as with Embassies and Multinational Organizations. Business includes (i) development of the activities in Technical Assistance programs targeted at multilateral and international bodies; (iii) management of the relationships with ANCE (Association of Italian Contractors), SACE (Italian public insurance company), Simest (Italian development finance institution promoting the activities of Italian businesses abroad), ICE (Italian Institute for Foreign Trade) and the Italian Ministry of Foreign Affairs, consolidating and developing the bank position abroad.

Responsible for the origination, structuring and execution of mandate for Advisory for financial transactions with Italian Public Entities, Utilities and Public/Private Investors. Duties ranged from origination, to preparation of credit, consulting and financial proposals, including credit and financial analysis. Main transaction included IPO of the Regional Public Utility HERA (Emilia Romagna), reorganization into a joint-stock company (in anticipation of its privatisation) of Ente Fiera di Rimini, and AMA International.

Responsible for the origination, structuring and execution of mandate for Advisory for financial transactions with Italian Public Entities, Utilities and Public/Private Investors. Duties ranged from origination, to preparation of credit, consulting and financial proposals, including credit and financial analysis. Main transaction included IPO of the Public Utility ACEGAS (Trieste) and AEM (Torino), Centrale del Latte di Vicenza and APS (Padova), ACEA (Roma), AEM (Milano), ACSM (Como) and Ancona Environment.
