Worldwide responsibility for all legal matters from the corporate level to retail operations for a growth stage luxury goods company. Responsible for drafting and negotiating agreements and company policies, resolving internal conflicts and external disputes, advising on business and legal issues with all levels of employees, and managing the company legal budget. Responsibilities include:- Managing all legal aspects of the launch and operation of e-commerce operations in the United States, including negotiating and drafting vendor contracts, website terms of use and privacy policy; currently expanding operations internationally after evaluating transition to a revenue share model.- Advising business teams and negotiating and drafting strategic license agreements.- Partnering with corporate, creative, and other internal teams on a variety of commercial agreements, including the company operating agreement, franchise, distribution and supply agreements, investment agreements and loans, leases, usage rights agreements, NDAs, and personal appearance releases.- Formulate and reassess as necessary litigation, intellectual property, and anti-counterfeiting strategy, managing outside counsel as needed.- Counsel founders, Board of Directors and senior management on business strategies, risk management, corporate governance, and company policies.- Providing employment law advice and support to HR director, corporate team, and retail store managers.- Interfacing with accountants, auditors and tax advisors in the preparation of financial statements, communications with tax authorities, and intercompany agreements.- Successfully allocating internal resources and reliance on external counsel, spending significantly less than the allocated budget each year.
