  I am the co-founding partner of the law firm of Wuersch & Gering LLP. My practice covers business and corporate matters, securities, M&A, financing and general legal compliance. I work with clients all over the world. I advise startups and growing companies as well as mature organizations listed on major stock exchanges. My clients include domestic and international public and private companies engaged in a broad range of industries, including private equity funds, hedge funds, commodities funds, on-shore and off-shore investment companies, mutual funds, venture capital funds, family offices, broker-dealers, financial intermediaries, banks, investment advisers, trust and individuals. I have extensive experience structuring, negotiating, drafting and advising clients in transactions involving joint ventures, strategic alliances, partnerships, licensing arrangements, distribution and franchise agreements, employment and consulting agreements, sophisticated investment and loan arrangements, U.S. Securities & Exchange Commission registrations and compliance matters for public companies, broker dealers and investment advisors, national stock exchange listings, cross border transactions, infrastructure development, high-tech ventures and many other complex legal and business matters. In addition to my own areas of practice, I also work closely with my partners who provide legal services and representation regarding state and federal tax compliance, intellectual property, immigration and visas, litigation, arbitration, trusts and estates, bankruptcy, real estate and employment matters. Prior to co-founding my firm in 1997, I practiced in the corporate department of the law firm of Fried, Frank, Harris, Shriver & Jacobson in New York, served as in-house counsel to a NASDAQ National Market listed company and also served as Chairman of a FINRA registered broker dealer.
