At ContourGlobal, I was responsible for managing the global corporate legal function, including setting strategic objectives and KPI's, identifying competencies and gap areas within the group for further development and serving as a deputy to the Group General Counsel. My role also involved (i) the provision of corporate governance and compliance advice to the FTSE250 listed parent, including on the Market Abuse regime and general advice to the Board and its Committees; (ii) leading corporate finance and debt/equity capital markets transactions, including the negotiation of key transaction and security documentation; and (iii) the provision of general legal advice on ongoing operational matters, corporate and tax restructurings and employment issues

Overall management and supervision of the legal team and strategic, legal and commercial advice to the business in relation to the following:1. M&A, disposals and joint ventures (corporate and asset) including (i ) the 2017 acquisition by Delek Group Ltd (through its subsidiary DKL Investments Limited) of Ithaca Energy Inc (inferring an enterprise value of approximately C$1.6 billion and a total equity value of C$829 million for Ithaca); (ii) the £200m+ multi jurisdictional acquisition of Valiant Petroleum plc (part shares part cash - TSX and AIM) in April 2013; (ii) the acquisition of Cook E&P Limited in October 2012 and Challenger Minerals (North Sea) Limited in October 2011; and (iii) the arrangements concluded in October 2011 for the development of the Ithaca operated Greater Stella Area utilising the FPF1 facility;2. banking and finance (including the group’s US$400m RBL Facility signed in July 2012, the US$350m Bridge Facility associated with the Valiant acquisition signed in March 2013; Ithaca's $300m Senior Notes Offering in 2014; and the amendment and restatement of the Ithaca Group's RBL Facilities in April 2015.3. general corporate compliance throughout the group and all joint ventures;4. contract negotiation, advice and drafting and the effective management of contractual disputes; and5. the instruction and management of external counsel.

Formulated and co-ordinated a PEAT accredited Commercial Contracts course and all associated teaching materials for the University of Aberdeen. The course focuses largely on North Sea energy contracts/relevant industry scenarios and comprises a 12 week elective for law graduates as part of their diploma in legal practice qualification.

My workload is spread across the fields of general corporate, intellectual property and commercial work and includes giving advice on acquisitions, mergers, disposals, patent and know-how licences, confidentiality agreements, joint ventures and commercial contracts.
