Jacobs Engineering Group Inc. is a global engineering company that has added the position of Manager, Global Stock Programs. As the new Manager of Global Stock Programs, I am responsible for implementing the necessary controls and procedures to maintain domestic and international stock plans and Employee Stock Purchase Programs. Procedures have been established, coordinating efforts with internal business partners, outside counsel, and the stock administration vendor to establish an effective stock plan department. Health Net, Inc. utilizes an outsourced stock administration program for managing its long-term equity plans. This program requires management of the functional department of stock plan administration. As the manager, I maintain the relationships between the stock administration vendor and all client departments dependant upon the integrity of the data in the stock administration system. • Coordination with transfer agent, benefits, accounting, finance, tax and legal departments to ensure accurate share reconciliation and securities laws compliance for equity grants and equity grant practices; • Communications to equity participants for grant, stock option exercise/restricted stock lapse, expiration and termination events, including compliance with 409A;• Compliance with trading blackout periods, insider trading policy and execution of 10(b)5-1 trading plans with brokers;• Maintain current and historical equity agreements and plan documents for the granting of non-qualified stock options, restricted stock units and performance share units; • Prepare equity updates for Board of Directors and Compensation Committee which include share-holder values and peer group comparisons; • Generate executive compensation disclosures for the annual proxy statement and 10k filings. These disclosures include summary compensation and equity tables with accompanying footnotes; • Complete filings for compliance with Rule 16(b) securities laws and maintain share ownership requirements for Section 16 officers and Board of Directors; • Ensure data transfer between payroll/HRIS and stock administration vendor contains appropriate tax withholding reporting and participant demographic information;• Facilitated the conversion of our stock administration database and am currently going through the process of a new stock vendor selection; and

Worked directly with corporate clients, both on-site and remote, to manage day-to-day activities of their in-house or outsourced equity compensation plans. This management included the relationships with stock administration vendors, brokers and transfer agents to ensure smooth transaction processing of stock option exercises and restricted stock releases. Maintained communication with executive management, payroll, finance/accounting, and legal departments to ensure compliance with corporate governance policies and securities laws. Developed and implement processes by coordinating with IT and HRIS departments to ensure data integrity.

Administered multiple broad based equity compensation plans, including incentive and non-qualified stock options, restricted stock awards, stock recognition programs and an Employee Stock Purchase program for employees and non-employee directors. Helped facilitate the expansion of the equity compensation plans into the global market by working with outside counsel to identify foreign jurisdictions where equity incentives would benefit employees, coordinated the establishment of foreign entity offices in said jurisdictions, and establish equity plans specific to granting options and awards as required by local law. Responsible for completion of all securities laws filings and any further compliance with Sarbanes-Oxley. Provided outside counsel with appropriate resolutions for stock matters going before the Compensation Committee of the Board of Directors. Worked directly with Investor Relations and the Treasury/Finance departments on the purchase of company stock pursuant to established corporate buy-back program.
