Represented a range of clients—from small businesses to Fortune® 500 public companies—in capacity as independent corporate governance experts and in developing strategic approaches for novel, complex and unique problems. Conducted internal corporate governance investigations, which entailed extensive witness interviews, in the effort to analyze governance and compliance failures and suggest solutions. Assisted corporations (boards and executive management) in making tactical business decisions in the areas of governance, crisis management, risk assessment, improving disclosure and transparency, and shaping effective approaches to the changing regulatory environment. Aided client(s) in the derivatives industry in drafting amendments to the Dodd-Frank Act regarding pragmatic phase-in approaches. Public relations facets of the job included assisting former Chairman Pitt in the preparation for various speaking engagements on topics such as the impact of the Dodd-Frank Act, all facets of corporate governance matters, and S-OX.

Participated in mergers, acquisitions, sales of assets, sales of securities, venture capital transactions, and major restructuring transactions for clients such as Enron and other high-profile and Fortune 500 clients. Drafted and negotiated merger agreements, asset purchase agreements, stock purchase agreements and related disclosure documents, including disclosure schedules, and fulfilling SEC reporting requirements in connection with such transactions. Negotiated and closed transactions, conducted due diligence and prepared opinions of counsel for committee review. Participated in a three-month pro bono externship at the Lawyers Alliance for New York, concentrating on nonprofit law with a special focus on economic development, affordable housing, childcare and public education.
