Board of Directors for Technology Companies – Independent MemberAfter an operational career in which I was CEO/President of six technology companies, I am now focused at leveraging that experience as an Independent Board member for early to mid-stage technology focused firms. I have over 30 years of experience in developing corporate strategy, recruiting and mentoring strong management teams and implementing the systems and disciplines to drive profitable growth. Five times I was the first outsider that Founders hired to be the President so am comfortable in leveraging the Founders’ skills while implementing the change to strategy, culture and process to position the company for further growth. I have led both private and public companies, start-ups and established companies with $10 million to $160 million in revenues and venture and private equity backed platforms. Most of the companies had a business-to-business model selling technology based components and sub-systems. Four of the companies were successfully positioned and sold generating $276 million for the shareholders.I have been a member of the Board/Advisor for 11 companies and have been on both Audit and Compensation committees. I am an active Board member supporting the CEO in recruiting VP’s, fine tuning strategy, developing compensation plans and being readily available to serve as a sounding board.

Chairman. Compensation Committee. Remain Advisor to CEO/Founder after next round of financing in 2018. Earlier in Career Unipower: Director of a Private Equity platform company providing dependable high efficiency power electronics, energy conversion systems and power supplies. Compensation Committee.Comark: Director of a Private Equity platform company providing highperformance computer solutions in the Building and Industrial Automation markets. Compensation Committee. VFA – Venture backed provider of integrated software and services for facilities asset management and capital planning for Government, Education and Corporate markets. Recruited in 1999 when VFA was spun out of the parent company and served until acquired in 2014. Audit and Compensation Committees.Innova Dynamics – Venture backed start-up commercializing a disruptive material technology for displays. Recruited in 2011 to assist with strategy. Elected Chairman in 2013. Compensation, Audit Committees.MicroTouch Systems – Leader in touch screens with 11 offices overseas. Recruited prior to public offering. Chairman of Audit Committee, Compensation Committee. Became CEO in 1996 and internal Board member. Kenet – Venture start-up developing high speed analog-to-digital converters. Recruited to be an Advisor to the first-time CEO. Company sold in 2008.ThreeCore – Venture start-up developing software for reverse auction through the internet. Recruited to add operational background to Board. Axel Photonics – Venture backed start-up developing semi-conductor lasers for telecom and medical markets that leveraged my experience at Lasertron. -
President & CeoSionex 2004 - 2010Venture backed start-up with technology capable of trace chemical detection, typically in the parts per billion levels in air. Transitioned the company from a pure component supplier to a complete system for trace detection focused on Homeland Security, Environmental Monitoring and Medical Diagnostics. Recruited by Board/Founders after close of the B Round. • Leveraged over $6 million in Government funding to support the development of a complete detection product which NASA installed on the International Space Station for astronaut safety. In 2010, 24 System Integrators/OEMs were developing systems based on this product. Frost & Sullivan awarded the product the 2010 Innovation of the Year in Spectroscopy.• Closed $15 million C Round in 2005 and stretched into mid-2010 through aggressive cost control. Augmented venture funding with $12.1 million by negotiating NRE and supply licenses with key customers as well as licensing technology to an instrumentation leader outside our core markets.• When D Round financing and an acquisition fell through in 2010, conducted orderly liquidation that enabled the payment of all creditors in full and returning cash to investors.

Re-positioned company to target projector applications and initiated a partnership with world’s leading projector company. Acquired in early 2004 resulting in a profitable exit for investors and Founders.

Worldwide market leader selling direct to OEMs with 50% of revenue from outside the US through 11 overseas sales offices. Multiple manufacturing sites in US, Europe and Asia. Recruited by Founder to create supporting infrastructure for next growth phase and to address high employee turnover.• Enhanced shareholder value by divesting two unrelated divisions and negotiating sale to 3M Corporation for $160 million in 2001.• Sales doubled from 1995, partially driven by expanded Asian offices that achieved 40% CAGR.• Tripled annual R&D expense over five years to fund new product line targeted at the high-growth mobile appliance segment and to extend core product’s market leadership. • To meet unit volume increases of 30%/year, invested $22 million in new processes to change manufacturing philosophy from batch to continuous flow. Out-of-box quality improved 70%.• Reduced employee turnover by 50% by leading culture change that fostered shared sense of future opportunity, open communication, and cross-functional teamwork. Strengthened management by recruiting 25 experienced managers and investing in training.• Upgraded IT infrastructure to improve predictability of financial reporting and global communications, contributing to a 60% reduction in time to close monthly financials.

Hired by Founders to develop a strategic plan for growth and to provide liquidity. • Negotiated sale to Oak Industries for $112 million in 1995. Promoted to Division President.• Achieved operating profits in excess of 15%. Increased sales by broadening customer base and strategically focusing company to serve just the telecommunications and wireless markets.• Brought R&D and manufacturing capability to state-of-the-art level by recruiting world-class technologists and investing $3 million in new equipment.• Strengthened joint venture with Chinese research center by hiring US trained general manager. • Fostered change in culture to reinforce team work, accountability and direct communications.
