I have participated as an appraiser and/or expert witness in several U.S. Tax Court cases, including Grieve, Steinberg, Hendrix, Jelke, McCord, Dunn, and Gladys Cook. I have written numerous articles on the subject of business valuation appearing in such publications as the Business Valuation Review, Trusts and Estates, Valuation Strategies, BV E-Letter, and Estate Planning. I have over 45 years of experience in valuing closely-held operating businesses and holding entities. These appraisals are used for a variety of purposes including (1) for the determination of Federal income, estate and gift taxes, (2) estate and succession planning, (3) compensation, (4) divorce, (5) trust and probate disputes, (6) disputes among equity holders, (7) bankruptcy and (8) commercial litigation. I have testified about these matters in various court venues including federal, state, bankruptcy, family and probate. In 1991, I co-founded the business valuation firm of Howard Frazier Barker Elliott, Inc. In 2012, that firm was acquired by Stout Risius Ross, LLC. I was a Managing Director in Stout’s Valuation Advisory practice until September 30, 2018. I founded W.H. Frazier & Co., Inc. in October, 2018.I have been a senior member of the American Society of Appraisers (ASA) since 1987. I have served on various boards and committees of the ASA over the years, including chair of the Government Relations Committee, Business Valuation Committee (treasurer and secretary), Standards Sub-committee of Business Valuations Committee, and Education Foundation. I was previously head of the Tax Reform Task Force of the ASA, a body created to offer guidance to members of the business valuation profession with respect to the Tax Cuts and Jobs Act. From 2009-2011, I served on the IRS Advisory Council. IRSAC's primary purpose is to provide an organized public forum for discussion of relevant tax administration issues between IRS officials and representatives of the public. I currently serve on the Standards Sub-committee of the ASA and am the Business Valuation Committee’s liaison with the Government Relations Committee. I am the developer of the Non-marketable Investment Company Evaluation Method and author of the chapter “The Cost of Capital of Private Company Interests” in the valuation textbook, The Cost of Capital. I am also the senior contributing author for the chapter “Discounts for Lack of Marketability” in the forthcoming sixth edition of the nation’s leading business valuation textbook, Valuing a Business.
