Svp, M&ASyniverse Technologies Nov 2006 - Mar 2013Tampa, FlJoined at the invitation of GTCR (majority equity owner) as a direct-report to the CEO with responsibility for identifying, evaluating and executing acquisitions. In 2007, led the acquisition of a major publicly traded competitor in Europe with significant revenue and cost synergies ($290M purchase of Billing Service Group). Acquisition classified as a 3>2 consolidation by EU anti-trust division and required extensive work with economists and lawyers to overcome concerns; achieved clearance without remedies after a Phase II review. In 2008, assisted the CEO and Board of Directors in executing a secondary market stock sale that enabled GTCR to achieve a highly profitable and efficient exit. In 2009, led the diligence and negotiation of another strategic acquisition ($175M VeriSign Messaging Division with operations primarily in India and California) which significantly expanded the breadth of Syniverse's mobile messaging solutions and increased Syniverse's market valuation by 3x the acquisition price upon the day of closing. In 2010, assisted the Board of Directors and executive management team in evaluating potential acquisitions to add a significant new line of business and presented strategic alternatives for selling the company. In 2011, a key member of the executive team that executed the plan to pursue strategic alternatives which resulted in Syniverse being acquired by The Carlyle Group for $2.6 billion. In 2012, worked on the acquisition from Warburg Pincus of a large global competitor based in Luxembourg, MACH, for $715M and led the successful effort to comply within 60 days with the EU Phase II anti-trust remedy requiring the sale of a portion of the business to an EU approved "viable competitor". Failure would have terminated the transaction and triggered a multi-million dollar payment to Warburg Pincus. The divested business was sold to a portfolio company of an Israel-based PE firm; one of the most difficult transactions in my career! -
