I worked in the Corporate Legal Function at GSK starting in June 1991 through to my retirement in September 2020. Following promotions with increasing responsibilities, I assumed lead responsibility for the US Corporate Legal team in 2009, and responsibility for the UK Corporate Legal team was added in 2011. Throughout this time period I was responsible for providing or overseeing other legal staff in providing advice and services to all GSK global support functions (e.g., Finance, HR, IT, Real Estate, Venture Capital). I led a staff of 23 lawyers and paralegals responsible for advising the global support functions on a range of legal issues and enterprise level transactions, with specializations in data privacy and cyber security laws. My areas of experience and expertise also include employee benefits, executive compensation and securities law.

  Corporate. Advising the corporate, secretariat and finance functions on banking, loan and derivative swap agreements, bond issues, conflict minerals, inter-company loans and asset transfers, external communications, charitable foundation initiatives, policies and corporate governance activities.Tech. Advising the global information technology function on global outsourced and offshore service transactions, cloud computing services agreements, cyber security systems and services, computer security investigation and response processes, and the design, implementation and administration of GSK’s global information protection and data privacy compliance strategies.Human Resources. Advising human resources on the design, drafting, implementation and administration of numerous global long-term incentive plans, employee benefit and executive deferred compensation plans, and all trust and supplier agreements related thereto.Mergers, Acquisitions & Divestitures. Responsible for the negotiation, drafting and implementation of all relevant human resource (including employee benefits and compensation), information technology and data privacy, material supplier agreements and real estate issues and provisions, and any necessary transitional services for strategic business transactions. Securities/Venture Capital. Advising on equity investments made by GSK and its venture capital subsidiaries (S.R. One and APVC), including preferred stock purchases and sales, and initial public stock offerings, preparing SEC disclosures statements, and managing the investigation and responses to all FINRA inquiries.Procurement. Advising the global procurement function on a broad range of complex, enterprise level indirect procurement supplier agreements.Real Estate. Advising the world-wide real estate and facilities management function on real estate leases, purchase and sale agreements, construction contracts, and global facilities outsourced services agreements.
