My practice focuses on the legal issues facing owners of privately held companies. Often acting as an outside “general counsel,” I assist with business formation and structuring; business succession planning; structuring shareholder and member buy-in and divestitures; capital needs, including private securities offerings, venture capital and “angel” financing; buy-sell agreements including operating agreements for limited liability companies; mergers and acquisitions; and business sales and acquisitions. I also assist companies on a wide range of day-to-day issues including contract drafting and review; joint venture agreements; sales, marketing and production agreements; non-disclosure and non-solicitation agreements; employment and consulting agreements; and stock option, restricted stock, profits interests and other employee incentive plans. I also regularly work with medical, dental, veterinary and other professional service firms and understand the unique issues impacting these firms and their owners.
