Sensia, founded in 2019, is a joint venture with over 1000 employees servicing over 80 countries, that brings together the pioneering process automation, real-time control and IoT technologies of Rockwell Automation, combined with the measurement and instrumentation, software and analytics capabilities of Schlumberger.Reporting to the General Counsel, my responsibilities include facilitating the continued integration of the contributed businesses from Rockwell Automation and Schlumberger, providing legal support to all Operating Divisions, overseeing the management of Sensia's IP portfolio, leading the global compliance program, and negotiating strategic agreements and alliances.Key Accomplishments:• Successfully negotiated the first digital automation oilfield contract in Libya with a National Oil Company, a $30M project and largest contract in Sensia’s history.• Developed and implemented a strategy to assess and protect Sensia’s intellectual property and oversee global applications and filings covering over 200 trademarks and 70 patents.• Developed software agreement ecosystem including licensing, reselling, remarketing and sales agreements.

Lead attorney responsible for supporting Cameron's Legacy Process Systems Division. Guided the division's activities in over 100+ countries on legal matters relating to purchase and supply contracts, mergers and acquisitions, IP licenses, and litigation.Key Accomplishments:• Negotiated alliance and distribution agreement with industry-leading membrane manufacturer Fujifilm to support Cameron’s Process System Division. Secured the exclusive distribution rights and a technology partnership with this key supplier• Negotiated a $400 million equipment order with a Latin American NOC. Worked with customer legal team and commercial team to offset all performance penalties with incentives to reward the business for exemplary performance.• Slashed legal spending for the business by 25% through single-source initiatives and the use of alternative fee arrangements.● Lead attorney in negotiating several settlements on alleged defective equipment/services sold to key customers. Able to reduce Schlumberger’s potential liability in these transactions by 90%.

Lead attorney responsible for supporting Cameron's Process Systems Division, a $800 million revenue business as well as Cameron's Treasury Function, and Supply Chain Organization. Directed a global legal team that was responsible for all legal concerns connected to these business units/ functions including acquisitions, divestitures, EPC contract negotiations, risk and litigation management, technology licenses, credit facilities, and intercompany agreements.Key Accomplishments:• Supported the Board of Directors on crisis response and mitigation plans and served as the legal lead on crisis management teams involving HSE incidents on offshore vessels.• Represented Cameron in the implementation of a multimillion-dollar revolving credit facility to support its subsidiaries.• Developed and introduced a new training program to educate procurement managers on negotiation strategies for Cameron supply contracts that reduced outside legal spending by $250K annually.• Lead attorney to represent Cameron in the sale of its automation and electrical maintenance business. The transaction involved the sale of Cameron’s interest in an Angolan JV. Served as managing attorney responsible for coordinating international due diligence, preparing disclosure schedules, equity transfer agreements, and ancillary agreements.• Negotiated a $280 million subsea system order with a Latin American NOC. Able to work with opposing counsel to move the NOC from its standard contracting position towards international standards and thus mitigate commercial and legal risk.

Senior Counsel that was integral part of the Subsea and Surface legal teams. Promoted to lead attorney for the Surface division, a business unit with revenues exceeding $1.5 billion in over 100 countries. Responsible for all global Surface legal matters including the management of legal personnel, commercial negotiations, advising senior management on legal developments, updating and drafting new corporate policies, and representing the company on acquisitions and divestitures.Key Accomplishments:• Negotiated a $1 billion purchase agreement with a Latin American NOC for subsea equipment.• Sole attorney to represent Cameron in the divestiture of its sucker rod pump parts business, a product line with locations in several states. Prepared disclosure schedules, divestiture agreement, IP transfer agreements, ancillary agreements and advised the business on the impact of the divestiture.• Negotiated a $280 million subsea system order with a Latin American NOC.
